Weaverly Terms of Service

These Terms govern your use of Weaverly, a Network Relationship Management platform operated by Weaverly, Inc. ("Weaverly", "we", "us").

By creating an account or using Weaverly, you agree to these Terms. If you do not agree, do not use the platform.

1. Who can use Weaverly

You must be at least 18 years old and able to enter a binding contract. If you are using Weaverly on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

You may not use Weaverly if you are barred from doing so under the laws of your country or the United States.

2. Your account

You are responsible for the accuracy of the information you provide, for keeping your password confidential, and for everything that happens under your account. Tell us promptly at support@weaverlynrm.com if you believe your account has been accessed without your permission.

One person, one account. Do not share your login, and do not create an account for someone else without their knowledge.

3. Beta status

Weaverly is in beta. The platform is under active development and you should expect changes to features, occasional errors, interruptions in service, and periods when a feature does not work as described.

We may add, change, or remove features at any time. We may reset or correct data where necessary to fix defects. We aim to give notice before changes that materially affect you, but we cannot always do so.

Do not rely on Weaverly as your only record of your professional network. Export your contacts periodically from the Contacts page.

4. What Weaverly does, and what it does not do

Weaverly reads professional information about you and the people in your network, distills what each person offers and what each person is seeking, and surfaces opportunities to reconnect or make an introduction.

You do the thinking. Weaverly finds and proposes opportunities. You review each one, decide whether it makes sense, and make the connection. Weaverly does not contact anyone in your network without your instruction.

Suggestions are not advice. Weaverly's matches, scores, and reasoning are informational. They are not professional, legal, financial, employment, or investment advice, and they are not a recommendation about any person's suitability for any purpose. Use your own judgment.

AI output can be wrong. Offers, needs, match reasoning, and other generated text are produced by automated systems and may be inaccurate, incomplete, or misleading. Review anything Weaverly produces before you act on it or send it to another person.

5. Contact data and your responsibilities

Weaverly stores information about people who may not be Weaverly users. This carries obligations you take on when you use the platform.

You confirm that:

  • You have a legitimate professional relationship with, or a lawful basis for holding, the contact information you add to Weaverly.
  • You have the right to upload the files you upload and to share the information they contain with us for processing.
  • You will use the platform to build genuine professional relationships, not to compile, scrape, or resell contact databases.
  • You will honor requests from your contacts to correct or remove their information, and you will tell us at support@weaverlynrm.com if you need help doing so.
  • You will not use Weaverly to contact anyone who has told you they do not want to be contacted.

You are the one who decides what to store about your contacts and what to do with it. We process that information on your behalf.

6. Introductions and invitations

When you make an introduction, you are asking two people to meet. You are responsible for the message you write and for judging whether the introduction is appropriate.

When you introduce someone who is not yet on Weaverly, we send an invitation email on your behalf, from a Weaverly address, identifying you as the person making the introduction. Until that person creates an account and verifies their email, we limit what they can see about the other party.

The recipient can decline without creating an account, and can ask not to be contacted again. If they do, do not attempt to introduce them again through the platform.

7. Acceptable use

Do not:

  • Upload or transmit anything unlawful, defamatory, harassing, hateful, or that infringes someone else's rights.
  • Impersonate another person or misrepresent your affiliation with anyone.
  • Send unsolicited commercial messages, bulk outreach, or spam through the platform.
  • Scrape, harvest, or bulk-export data other than your own, or use automated means to access the platform outside a documented interface.
  • Attempt to gain unauthorized access to the platform, other accounts, or our systems, or probe or test our security without written permission.
  • Reverse engineer the platform, or use it to build a competing product.
  • Interfere with the platform's operation, or place unreasonable load on it.
  • Use the platform to make decisions about a person's employment, credit, housing, or insurance eligibility. Weaverly is not a consumer reporting agency and its output is not a consumer report.

We may suspend or terminate accounts that violate this section.

8. Your content

You keep ownership of everything you put into Weaverly: your profile, your contacts, your notes, your messages, and your posts.

You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display your content solely to operate and improve the platform and to provide the features you use. This license ends when you delete the content or your account, except for copies retained in backups until they expire.

You grant no license for us to sell your content, and we do not.

9. Our content

The Weaverly platform, its software, design, and branding are owned by us and protected by intellectual property law. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the platform. They do not transfer any ownership to you.

10. Fees

Weaverly is currently free to use during beta.

We intend to introduce paid plans. When we do, pricing and terms will be presented before you are charged, and no charge will be made without your agreement. Payments will be processed by Stripe under its own terms. Unless stated otherwise at the time of purchase, fees are non-refundable except where required by law.

We will give notice before charging for anything that is currently free.

11. Third-party services

Weaverly integrates with third-party services including LinkedIn, Stripe, and AI service providers. Your use of those services is governed by their terms and privacy policies. We are not responsible for third-party services, and their availability may change without notice.

12. Suspension and termination

By you. You may stop using Weaverly at any time. To delete your account, email support@weaverlynrm.com. Export your contacts first if you want to keep them.

By us. We may suspend or terminate your account if you breach these Terms, if your use creates legal risk or harms other users, or if we are required to by law. Where circumstances allow, we will tell you why and give you an opportunity to respond.

On termination. Your right to use the platform ends. Sections 8, 9, 13, 14, 15, and 17 survive.

13. Disclaimers

The platform is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the platform will be uninterrupted, error-free, or secure, that defects will be corrected, or that any match, score, or suggestion will be accurate, complete, or lead to any particular outcome.

Weaverly does not verify the identity, credentials, statements, or intentions of any user or contact. You are responsible for your own due diligence before acting on anything the platform surfaces.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

14. Limitation of liability

To the fullest extent permitted by law, Weaverly and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, lost data, or loss of goodwill, arising out of or relating to your use of the platform, whether based in contract, tort, or any other theory, and whether or not we were advised of the possibility.

Our total liability for all claims relating to the platform will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred United States dollars.

Some jurisdictions do not allow these limitations, so parts of this section may not apply to you.

15. Indemnity

You agree to indemnify and hold harmless Weaverly and its officers, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable legal fees, arising out of your content, your use of the platform, your breach of these Terms, or your violation of any law or of the rights of any third party, including the rights of the people whose contact information you store.

16. Changes to these Terms

We may update these Terms as the product and our business change. When we make material changes we will update the date at the top and notify you in the product or by email before they take effect. Continuing to use Weaverly after changes take effect means you accept them. If you do not accept them, stop using the platform and delete your account.

17. Governing law and disputes

These Terms are governed by the laws of the State of Missouri, without regard to its conflict of laws rules. You and Weaverly agree to the exclusive jurisdiction of the state and federal courts located in Saint Louis, Missouri for any dispute not subject to an alternative process below.

Before filing a claim, you agree to contact us at support@weaverlynrm.com and attempt in good faith to resolve the matter informally for at least thirty days.

18. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Weaverly regarding the platform.

Severability. If a provision is found unenforceable, the rest remains in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
